Terms of Service

1. Acceptance of Terms

These Terms are between you and Startup Miracle, operated by Lalify Ops LLC, a Florida limited liability company (“we,” “us,” or “Company”). By accessing or using our services, including our website at startupmiracle.com, AI virtual receptionist (Morgan), and any related services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Services.

2. Services Description

Startup Miracle provides Growth Automation as a Service (GAaaS), including:

  • Speed to Lead ($300/month) — AI virtual receptionist that answers calls 24/7, qualifies leads, books appointments, screens spam calls, and provides daily lead reports
  • Standard Plan ($3,000/month) — Full marketing, sales, and service automation with dedicated support
  • Pro Plan ($6,000/month) — Priority execution, multi-seat access, finance automation, and hypercare

All plans are month-to-month subscriptions. You may pause or cancel at any time (see Section 7).

3. Account & Eligibility

You must be at least 18 years old and a legal entity or authorized representative to subscribe to our Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4. AI-Assisted Communications

By using our Services, you acknowledge and agree that:

  • Our AI virtual receptionist (“Morgan”) is an artificial intelligence system, not a human
  • Phone calls handled by our AI may be recorded for quality assurance, training, and service delivery
  • Call transcripts and summaries are stored to improve service personalization and follow-up
  • AI responses are generated in real-time and may occasionally contain inaccuracies; they do not constitute professional advice
  • You consent to receive AI-assisted phone calls and text messages by providing your phone number and checking the consent boxes on our forms

5. Billing & Payments

  • All payments are processed securely by Stripe
  • Subscriptions are billed monthly on the anniversary of your signup date
  • Promotional pricing (e.g., 50% off first month) applies only to the first billing cycle and automatically reverts to the standard rate
  • Prices are in US Dollars (USD) and do not include applicable taxes
  • Failed payment attempts may result in service suspension after 7 days of non-payment

6. Refund Policy

Subscription fees are non-refundable once a billing cycle has begun. If you cancel mid-cycle, your access remains active through the end of the current billing period. We do not offer prorated refunds for partial months.

If you experience a significant service outage (more than 48 consecutive hours) directly caused by us, you may request a credit toward your next billing cycle by contacting [email protected].

7. Cancellation & Pause

  • Cancel anytime: Email [email protected] or notify your account manager. Your service remains active through the end of the current billing cycle.
  • Pause: You may pause your subscription for up to 2 months. During the pause, no charges are incurred and your AI agents are deactivated. Resuming reactivates your subscription at the same rate.
  • Upon cancellation, we will retain your data for 30 days in case you wish to reactivate. After 30 days, data is permanently deleted unless you request earlier deletion or have an outstanding balance.

8. Acceptable Use

You agree not to:

  • Use the Services for any illegal purpose or in violation of any applicable law
  • Provide false or misleading information in forms or during AI interactions
  • Attempt to reverse-engineer, copy, or replicate our AI systems, prompts, or proprietary technology
  • Use the Services to harass, spam, or defraud any person
  • Exceed reasonable usage limits (we reserve the right to define and enforce fair use policies)

9. Intellectual Property

All content, technology, AI models, prompts, designs, and branding associated with Startup Miracle are our proprietary property or licensed to us. You may not copy, modify, distribute, or create derivative works without our written permission.

Landing pages and AI agents we create for your business as part of your subscription are licensed to you for the duration of your active subscription. Upon cancellation, these assets may be deactivated.

10. Service Availability & Limitations

  • We strive for 99.9% uptime but do not guarantee uninterrupted service
  • AI responses are generated in real-time and may vary; we do not guarantee specific outcomes from AI interactions
  • Our AI agents are tools to assist your business operations, not replacements for professional, legal, medical, or financial advice
  • We depend on third-party providers (Vapi, OpenAI, Deepgram, Stripe, Telnyx) and are not liable for their outages

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STARTUP MIRACLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.

Our total liability for any claim arising from these Terms or the Services shall not exceed the amount you paid to us in the 3 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Startup Miracle, its founders, employees, and agents from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

13. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Services, you consent to the practices described in the Privacy Policy.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Broward County, Florida, unless both parties agree to mediation first.

15. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated date. Material changes will be communicated via email to active subscribers. Continued use of the Services after changes constitutes acceptance.
